Terms of Service

Important notices — please read before using the platform
- VerifiedPros is a marketplace only. We are not a contractor and perform no trades work.
- Licence verification is conducted at onboarding and periodically thereafter — we cannot guarantee real-time licence status.
- The 30-day resolution guarantee is a facilitation commitment, not financial compensation or a workmanship warranty.
- Disputes are resolved under Ontario law with a 1-year limitation period. Class action claims are waived.
- Our liability is capped at fees paid to us or CAD $500, whichever is greater.

These Terms of Service (“Terms”) govern your access to and use of the VerifiedPros platform at verifiedpros.ca (the “Platform”), operated by VerifiedPros Inc.(“VerifiedPros”, “we”, “us”, “our”). By creating an account, posting a job, or using any part of the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
Acceptance of Terms
By accessing or using the Platform in any way, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy, which is incorporated by reference. These Terms form a legally binding agreement between you and VerifiedPros Inc..
We may revise these Terms at any time. We will notify registered users of material changes by email or by posting a notice on the Platform. Your continued use of the Platform after any revision constitutes acceptance of the updated Terms. The most current version is always available at verifiedpros.ca/terms.
Platform Description and Role
VerifiedPros operates an online marketplace that connects Ontario homeowners (“Homeowners”) with independent, licensed trade contractors (“Contractors”) for residential home repair and renovation services, typically ranging from $150 to $15,000 per job.
VerifiedPros is a marketplace only. We are not a contractor, trades business, employment agency, or staffing firm. We do not perform any trades or home repair work ourselves. We are not a party to any service agreement, quote, or contract between a Homeowner and a Contractor. The contractual relationship for any job is solely between the Homeowner and the Contractor.
VerifiedPros acts as an intermediary by facilitating introductions, verifying credentials at onboarding, operating a matching algorithm, and providing the 30-Day Resolution Guarantee described in Section 9. Nothing in our role as marketplace operator creates any employment, agency, partnership, or joint-venture relationship between VerifiedPros and any Contractor.
Eligibility
To use the Platform, you must:
- Be at least 18 years of age or the age of majority in your province of residence
- Be a Canadian resident using the Platform in connection with residential property located in Ontario
- Have the legal capacity to enter into a binding contract
- Not have been previously suspended or removed from the Platform for a violation of these Terms
Additional eligibility requirements for Contractors:
- Be a registered sole proprietor or incorporated business operating in Ontario
- Hold all licences required by Ontario law for the trades you list on the Platform
- Carry valid WSIB coverage or a valid WSIB independent operator exemption throughout your time on the Platform
- Carry general liability insurance of at least $2,000,000 CAD throughout your time on the Platform
Contractor Verification — Scope and Limitations
VerifiedPros verifies each Contractor's trade licence by checking directly with the applicable Ontario issuing authority (ESA for electricians, TSSA for HVAC and gas technicians, OCOT for other regulated trades) at the time of onboarding and periodically thereafter.
Verification has inherent limitations. You acknowledge and agree that:
- Licence status can change between our verification checks. We cannot and do not guarantee that a Contractor's licence, insurance, or WSIB coverage remains valid and active at the time any particular job is performed.
- Verification is based on information provided by Contractors and by provincial licensing authorities. We are not liable for errors, delays, or inaccuracies in information provided by those sources.
- Homeowners are encouraged to independently verify a Contractor's current licence status using the applicable provincial authority's online lookup (esa.on.ca, tssa.ca, ocot.ca) before work begins.
- Passing our verification process does not constitute an endorsement of any Contractor's quality of work, character, or suitability for any specific job.
VerifiedPros reserves the right to re-verify credentials at any time and to remove Contractors whose credentials cannot be confirmed.
Homeowner Terms
By posting a job on the Platform, you represent, warrant, and agree that:
- Accuracy: The job description you provide is accurate and complete to the best of your knowledge. Deliberately misleading or omitting information that materially affects the scope of work is a violation of these Terms.
- Authorization: You are the owner or authorised occupant of the property where work is to be performed, or you hold legal authority to commission the work on behalf of the owner.
- Access: You will provide the matched Contractor with safe, reasonable access to the property at the agreed time. Repeated failure to provide access after a Contractor has been dispatched may result in account suspension.
- Payment:You will pay the Contractor the agreed amount directly, at the time and in the manner agreed. You will not withhold payment without a legitimate dispute submitted through the Platform's resolution process.
- Non-solicitation: For 12 months following a completed job, you will not engage, hire, or solicit any Contractor you were matched with through VerifiedPros for trades work outside the Platform. This restriction does not apply after the 12-month period expires.
- No false disputes: You will not submit false, misleading, or fabricated resolution claims. Abuse of the resolution process may result in account suspension and potential liability for Contractor damages.
Contractor Terms
Independent contractor status
Contractors on the Platform are independent contractors, not employees, agents, or partners of VerifiedPros. VerifiedPros does not control the manner or means by which Contractors perform their work, set their schedules, or price their services. Contractors are solely responsible for their own taxes, insurance, WSIB premiums, and compliance with all applicable laws.
Licence and insurance obligations
By registering as a Contractor, you represent, warrant, and agree to:
- Maintain all required provincial licences in active, good-standing status throughout your time on the Platform
- Maintain valid general liability insurance (minimum $2,000,000 CAD) and WSIB coverage or a valid independent operator exemption throughout your time on the Platform
- Immediately notify VerifiedPros if any licence, insurance, or WSIB coverage lapses or is suspended
- Pull all permits required by Ontario law for any work performed through a Platform match — including ESA permits for electrical work, TSSA permits for gas and HVAC, and municipal building permits where required
- Provide accurate business name, contact information, licence numbers, and WSIB account details, and update this information promptly when it changes
Job conduct obligations
- Respond to accepted job leads promptly — typically within 2 hours during business hours
- Perform all work in a professional, workmanlike manner consistent with Ontario industry standards
- Honour the scope and price agreed at the time of acceptance
- Provide a written invoice for all completed jobs
Non-solicitation
For 12 months following any job match through the Platform, you will not directly solicit, contact, or accept engagement from Homeowners you were matched with through VerifiedPros for any trades or home repair work outside the Platform. This restriction applies to work of any scope or value. It does not restrict you from accepting inbound inquiries that did not originate from a VerifiedPros introduction.
Contractors who provide false credentials, fail to maintain required licences or insurance, accumulate unresolved complaints, or violate any provision of this section may be suspended or permanently removed from the Platform without notice.
Fees, Billing, and Payment
Free tier
The Free tier is available to all Contractors at no monthly cost. Free tier Contractors pay an 8% platform fee on completed jobs only, capped at $400 per job, including emergency jobs. By adding a payment method, you authorise VerifiedPros to collect platform fees after completed jobs via Stripe, Inc. (“Stripe”).
Pro tier
Pro is an optional paid subscription at $49 CAD per month. Pro Contractors pay a 5% platform fee on completed jobs, capped at $400 per job. Pro subscribers receive access to professional invoicing, expense tracking, client book, business card, QR code, booking portal, and quote generator.
Elite tier
Elite is an optional paid subscription at $99 CAD per month. Elite Contractors pay a 3% platform fee on completed jobs, capped at $300 per job, including emergency jobs. Elite subscribers receive all Pro features plus priority dispatch and WhatsApp delivery.
Subscription billing
Pro and Elite subscriptions are billed monthly via Stripe. Subscriptions can be cancelled at any time. Downgrading to Free takes effect at the end of the current billing period. No refunds are issued for partial months.
Fee collection
Platform fees are collected on completed, invoiced jobs regardless of tier. Fee rates are determined by the Contractor's active tier at the time of job completion.
Platform commission
A platform commission is charged to Contractors on completed jobs facilitated through the Platform. The current commission rate is disclosed at onboarding and is subject to change with 30 days’ written notice. Commissions are charged through Stripe upon job completion.
Homeowner fees
Homeowners are not charged any platform fee. Posting a job and receiving a match is free. Homeowners pay Contractors directly for the work performed, in a manner agreed between them (e-transfer, cash, cheque, or other agreed method).
Taxes
Platform fees charged to Contractors are subject to applicable HST. Contractors are responsible for all taxes, including HST, applicable to their own services.
Payment processing
Credit card and debit card transactions are processed by Stripe. Your use of Stripe's payment services is subject to Stripe's own terms of service and privacy policy. VerifiedPros does not store full payment card details.
Billing disputes
You must raise any billing dispute within 30 days of the charge date by emailing legal@verifiedpros.ca. Disputes raised after 30 days may not be eligible for a refund. We will investigate all disputes in good faith and respond within 5 business days.
VerifiedPros reserves the right to change its fee structure at any time with at least 30 days’ notice to active Contractors. Continued use after notice constitutes acceptance of revised fees.
No-Lead Guarantee
VerifiedPros offers a No-Lead Guarantee to active Contractors on all tiers. If VerifiedPros dispatches zero leads to an active Contractor in a full calendar month, we acknowledge the failure and work to resolve it: VerifiedPros will notify the Contractor and review their trade and zone settings.
Eligibility requirements
All of the following must be true:
- The Contractor must have an active VerifiedPros account.
- The Contractor's availability must be set to “accepting jobs” throughout the month. A Contractor who paused availability has opted out of receiving leads and is not eligible for that month.
- The Contractor's profile must have a complete bio and a valid phone number. Incomplete profiles cannot be matched.
- The Contractor must not have had their No-Lead Guarantee eligibility disabled by VerifiedPros administration (reserved for cases of policy abuse or account investigation).
What counts as a lead
A “lead” is any JobMatch record dispatched to the Contractor during the calendar month, regardless of whether it was accepted, declined, or allowed to expire. One dispatched lead — even if declined — disqualifies the Contractor from the guarantee for that month.
How it is applied
On the 1st of each month, our automated system reviews all active Contractors. Contractors who received zero dispatches the prior month receive a confirmation email. No Contractor action is required.
The No-Lead Guarantee is a service commitment. It is not a guarantee of future lead volume, minimum earnings, or any particular job outcome. VerifiedPros reserves the right to modify or discontinue this program with 30 days’ notice to affected Contractors.
30-Day Resolution Guarantee
VerifiedPros offers a 30-Day Resolution Guarantee on all completed jobs facilitated through the Platform.
What we commit to
If a Homeowner raises a legitimate concern about a completed job within 30 days of the job being marked complete on the Platform, VerifiedPros will:
- Acknowledge the concern within 2 business days
- Contact the matched Contractor to hear their account of the matter
- Facilitate a structured resolution conversation between the Homeowner and Contractor
- Document the reported outcome and update the job record accordingly
- Review the Contractor's standing on the Platform if the concern is substantiated
What this is not
The 30-Day Resolution Guarantee is a facilitation commitment only. It is not an insurance policy, a workmanship warranty, or a financial guarantee. VerifiedPros does not guarantee the outcome of any resolution process, does not accept liability for work performed by Contractors, and does not commit to financial compensation of any kind under this guarantee.
Direct payments
Payments between Homeowners and Contractors are made directly between the parties (e-transfer, cash, cheque, or another agreed method). VerifiedPros does not hold, escrow, or control these payments. Any disputes about payment amounts are between the Homeowner and Contractor directly.
How to make a claim
Email legal@verifiedpros.ca with your job ID and a written description of the concern. Claims must be submitted within 30 calendar days of the job completion date shown in your dashboard. Late claims will not be eligible under this guarantee.
Prohibited Conduct
You agree not to:
- Circumvent or attempt to circumvent the Platform by arranging jobs, payments, or referrals with users you met through VerifiedPros outside the Platform, in violation of the non-solicitation provisions in Sections 5 and 6
- Provide false, misleading, or inaccurate information — including false licence numbers, fabricated credentials, or invented reviews
- Post jobs that describe work for illegal purposes, or accept such jobs
- Harass, threaten, or abuse any Homeowner, Contractor, or VerifiedPros staff member
- Reverse-engineer, scrape, spider, or data-mine any part of the Platform
- Attempt to gain unauthorized access to any account, system, or data
- Use the Platform to transmit malware, spam, or unsolicited communications
- Manipulate ratings, reviews, or matching signals through artificial means
- Create multiple accounts to circumvent a suspension or ban
- Violate any applicable federal, provincial, or municipal law in connection with your use of the Platform
Violation of this section may result in immediate account suspension, permanent removal, referral to law enforcement, and/or civil action for damages.
User Content
“User Content” means any information, text, reviews, photos, or other materials you submit to the Platform, including job descriptions, portfolio photos, profile information, and reviews.
You retain ownership of your User Content. By submitting User Content, you grant VerifiedPros a worldwide, non-exclusive, royalty-free, sublicensable licence to use, reproduce, modify, publish, and display your User Content in connection with operating, promoting, and improving the Platform.
You represent and warrant that your User Content: (a) is accurate and not misleading; (b) does not infringe any third-party intellectual property, privacy, or publicity rights; (c) does not violate any applicable law; and (d) in the case of reviews, reflects your genuine first-hand experience.
VerifiedPros reserves the right to remove any User Content at any time and for any reason, including content that violates these Terms or that we determine in our sole discretion is harmful, offensive, or otherwise inappropriate.
Disclaimers
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. VERIFIEDPROS MAKES NO WARRANTY THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.
VERIFIEDPROS DOES NOT WARRANT OR GUARANTEE THE QUALITY, SAFETY, WORKMANSHIP, TIMELINESS, OR LEGALITY OF ANY WORK PERFORMED BY CONTRACTORS MATCHED THROUGH THE PLATFORM. VERIFIEDPROS DOES NOT ENDORSE ANY CONTRACTOR AND MAKES NO REPRESENTATION AS TO THE SUITABILITY OF ANY CONTRACTOR FOR ANY PARTICULAR JOB.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES. TO THE EXTENT SUCH EXCLUSIONS ARE NOT PERMITTED, THEY SHALL BE LIMITED TO THE MINIMUM EXTENT REQUIRED BY APPLICABLE LAW.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VERIFIEDPROS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND ARISING OUT OF OR RELATING TO: (A) WORK PERFORMED OR NOT PERFORMED BY A CONTRACTOR; (B) INACCURATE OR LAPSED CREDENTIALS PROVIDED BY A CONTRACTOR; (C) DISPUTES BETWEEN HOMEOWNERS AND CONTRACTORS; (D) ANY INTERRUPTION, SUSPENSION, OR UNAVAILABILITY OF THE PLATFORM; OR (E) ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA.
IN NO EVENT SHALL VERIFIEDPROS'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO VERIFIEDPROS IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) FIVE HUNDRED CANADIAN DOLLARS (CAD $500).
THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY — WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE — AND EVEN IF VERIFIEDPROS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY; IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
Indemnification
You agree to indemnify, defend, and hold harmless VerifiedPros Inc. and its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of or access to the Platform
- Your violation of these Terms
- Your User Content
- Any work performed or not performed by you as a Contractor
- Any dispute between you and another user of the Platform
- Your violation of any applicable law, regulation, or third-party right
VerifiedPros reserves the right, at its own expense, to assume the exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with VerifiedPros in asserting any available defences.
Privacy
VerifiedPros collects, uses, and discloses personal information in accordance with our Privacy Policy and the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation.
By using the Platform, you consent to the collection, use, and disclosure of your personal information as described in our Privacy Policy. Our Privacy Policy is incorporated into these Terms by reference and forms part of this agreement.
If you are a Contractor, you acknowledge that certain information you provide — including your name, business name, trade, service zones, and verified licence status — may be displayed to Homeowners to facilitate matching.
Termination
Termination by you
You may close your account at any time by contacting us at legal@verifiedpros.ca or through your account settings. Any outstanding platform fees accrued on completed jobs remain payable upon closure.
Pro and Elite subscribers who cancel mid-month are not entitled to a refund for the remainder of the billing period. Free tier Contractors may deactivate their account at any time with no financial obligation beyond outstanding platform fees on completed jobs.
Termination by VerifiedPros
VerifiedPros may suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to: violation of these Terms, provision of false credentials, non-payment of fees, accumulation of unresolved complaints, or activity that poses a risk to the safety of Homeowners, Contractors, or the Platform.
Effect of termination
Upon termination of your account: (a) your right to access and use the Platform ceases immediately; (b) any active job matches are cancelled; (c) Sections 1, 5 (non-solicitation), 6 (non-solicitation), 10, 11, 12, 13, 14, 17, and 18 survive termination indefinitely; and (d) VerifiedPros may retain your data in accordance with our Privacy Policy and applicable law.
Dispute Resolution
Governing law
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of the Province of Ontario, Canada and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Jurisdiction
You and VerifiedPros irrevocably submit to the exclusive jurisdiction of the courts of the Province of Ontario for the resolution of any dispute arising under or in connection with these Terms or your use of the Platform.
Limitation period
Any claim or cause of action arising out of or related to your use of the Platform or these Terms must be filed within one (1) year after the claim arises, regardless of any statute of limitations to the contrary. Claims not filed within this period are permanently barred.
No class actions
You agree that all disputes will be resolved on an individual basis only. You waive any right to bring or participate in any class, collective, or representative action against VerifiedPros. If this waiver is found unenforceable in whole or in part, the unenforceable portion shall be severed and the remainder of this section shall remain in effect.
Informal resolution
Before filing any formal legal proceeding, you agree to attempt to resolve the dispute informally by contacting VerifiedPros at legal@verifiedpros.ca. We will make good-faith efforts to resolve the dispute within 30 days of receipt of your written notice.
General Provisions
- Entire agreement. These Terms, together with the Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and VerifiedPros with respect to the Platform and supersede all prior agreements, representations, and understandings.
- Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.
- No waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision in any future instance.
- Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. VerifiedPros may assign its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of all or substantially all of its assets.
- Force majeure. VerifiedPros shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, government actions, pandemic, or failure of third-party infrastructure.
- Language. These Terms are written in English. Any translation is provided for convenience only. In the event of any conflict, the English version prevails.
